Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you and Dialogix. By accessing our website, registering for courses, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

If you are accepting these terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these terms. In such cases, references to "you" include both you as an individual and the organization you represent.

These terms supplement and do not replace our Terms of Service, Privacy Policy, or any other specific agreements you may have with us. If you do not agree to these terms, you must discontinue use of our services immediately.

User Obligations and Responsibilities

1. Legal Responsibilities

You are responsible for ensuring that your use of our services complies with all applicable laws, regulations, and ordinances in your jurisdiction. This includes but is not limited to:

  • Data protection and privacy laws governing the collection and use of personal information
  • Intellectual property laws regarding the use and distribution of copyrighted materials
  • Consumer protection laws and regulations applicable to your use of our services
  • Export control laws if accessing our services from outside Japan

2. Conduct Requirements

When participating in our training programs or using our services, you agree to maintain professional and respectful conduct at all times. Specifically, you must:

  • Treat instructors, staff, and fellow participants with respect and courtesy
  • Refrain from disruptive, offensive, or inappropriate behavior during training sessions
  • Respect the confidentiality of other participants' personal information and shared experiences
  • Arrive on time for scheduled sessions and notify us in advance if you cannot attend
  • Complete assigned exercises and practice activities in good faith

3. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination of your access to our services:

  • Recording, photographing, or otherwise capturing training sessions without explicit written permission
  • Sharing course materials with non-participants or posting them publicly without authorization
  • Reverse engineering, decompiling, or attempting to extract proprietary methodologies from our courses
  • Using information obtained through our services for commercial purposes without permission
  • Engaging in harassment, discrimination, or any form of harmful behavior toward others
  • Misrepresenting your identity, credentials, or affiliation with any organization

4. Age Requirements

Our services are intended for adults and professionals seeking communication skill development. Participants must be at least 18 years of age or have reached the age of majority in their jurisdiction. If you are enrolling a minor in our programs with special permission, you assume full responsibility for their participation and adherence to these terms.

Additional User Responsibilities

1. Compliance with Laws and Regulations

You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to those governing professional conduct, workplace behavior, and interpersonal communication in your industry or region. You are solely responsible for ensuring that your participation in our programs and application of learned skills complies with any professional codes of conduct or industry regulations that apply to you.

2. Indemnification Obligations

You agree to indemnify, defend, and hold harmless Dialogix, its owners, employees, instructors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your violation of these Terms and Conditions or any applicable laws
  • Your misuse of our services or course materials
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any dispute between you and other participants or third parties

3. Privacy and Data Protection Responsibilities

While we are committed to protecting your personal information as outlined in our Privacy Policy, you also have responsibilities regarding data protection. You agree to provide accurate information, keep your account credentials secure, and promptly notify us of any unauthorized access. When participating in group training, you must respect the privacy of other participants and not collect, record, or share their personal information without consent.

4. Third-Party Interactions

Our services may involve interactions with other participants, guest speakers, or third-party service providers. We are not responsible for the actions, content, or conduct of third parties. Any arrangements, communications, or transactions you enter into with third parties are solely between you and those parties. We do not endorse or assume liability for any third-party content or services.

Disclaimers and Limitation of Liability

1. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that our services will meet your specific requirements or expectations
  • Any warranty regarding the accuracy, completeness, or reliability of content or results
  • Any warranty that our services will be uninterrupted, secure, or error-free

While we strive to provide high-quality training based on established communication principles, we cannot guarantee specific outcomes or improvements in your communication abilities. Individual results depend on numerous factors including personal effort, practice, and application of learned skills.

2. Limitation of Liability

To the maximum extent permitted by applicable law, Dialogix and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Emotional distress or psychological harm
  • Professional or personal relationship damages
  • Costs of procurement of substitute services

Our total liability to you for any claims arising from or related to our services shall not exceed the amount you paid to us for the specific service giving rise to the claim, or ¥50,000, whichever is less.

3. Consequential Damages Exclusion

We shall not be liable for any damages resulting from your use or inability to use our services, even if we have been advised of the possibility of such damages. This includes damages arising from your application of communication techniques learned in our courses, interactions with other participants, or any decisions made based on course content. The training we provide is for educational purposes and should not replace professional advice when needed.

4. Force Majeure

We shall not be held liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, labor disputes, telecommunications failures, or other force majeure events. In such cases, we will make reasonable efforts to reschedule training sessions or provide alternative arrangements.

Legal Information and Dispute Resolution

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Osaka, Japan. By using our services, you consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.

2. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising from or relating to these terms or our services, we encourage you to first contact us directly to seek an amicable resolution. We are committed to addressing concerns fairly and promptly.

If informal resolution is unsuccessful, you agree to attempt to resolve the dispute through good-faith negotiation. Should negotiation fail, either party may pursue resolution through the courts as specified in the governing law provision above.

3. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

4. Terms Modification Policy

We reserve the right to modify, amend, or update these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website, and the "Last Updated" date at the top of this page will be revised. Material changes may be communicated to registered users via email. Your continued use of our services after any modifications constitutes your acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of our services.

5. Entire Agreement

These Terms and Conditions, together with our Terms of Service, Privacy Policy, Cookie Policy, and any other agreements specifically referenced herein, constitute the entire agreement between you and Dialogix regarding the use of our services. These terms supersede any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter herein.

6. No Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of Dialogix.
